Românul is a not for profit membership organization, presided over by a volunteer board of directors. The team of 9 (nine) volunteers is elected at the Annual Membership Meeting, as provided by the organization's Bylaws.

Directors' Responsibilities:

Understanding and applying the organization's mission, Bylaws and policies;

Establishing the vision and values of the organization by overseeing and participating in the development of a periodically updated "strategic plan" and by reaching agreement on the broad policies necessary to implement it;

Contributing to the organization's financial health through fiscal oversight and resource development;

Attending and participating in board meetings and other events designed to strengthen the board and enhance its members' knowledge and skills;

Avoiding any potential conflicts of interest between one's personal or business life and one's fiduciary duties;

Keeping confidential information confidential;

Representing Românul in the community, so as to increase support for the organization's mission.

 

Legal Responsibilities of Nonprofit Boards:

Duty of Care: The duty of care that an ordinary prudent person would exercise in a like position and under similar circumstances.

Duty of Loyalty: The duty of loyalty is a standard of faithfulness; a board member should give undivided allegiance when making decisions affecting the organization.

Duty of Obedience: The duty of obedience requires board members to be faithful to the organization’s mission. They are not permitted to act in a way that is inconsistent with the central goals of the organization.
